Choose Your Business Structure

Sole Proprietorship / Partnership — Easiest to set up, ideal for small businesses. Owner is personally liable. Only available to Malaysian citizens and PRs. Registration fee RM30–60/year.

Private Limited Company (Sdn Bhd) — Separate legal entity. Limited liability for shareholders. Minimum one director (18+, resident in Malaysia) and one shareholder (can be the same person). Minimum paid-up capital RM1. Requires a licensed company secretary appointed within 30 days.

Limited Liability Partnership (LLP) — Hybrid between partnership and company. Mainly used by professional services. Requires at least one compliance officer based in Malaysia.

Public Limited Company (Berhad) — For larger operations planning to list publicly. Higher capital requirements and complex regulatory obligations.

Register with SSM (Companies Commission)

For Enterprise (Sole Prop / Partnership):
→ Portal: EzBiz Online (ezbiz.ssm.com.my)
→ Search for name availability, complete registration, pay RM30–60. Certificate typically issued same day to 1 working day.

For Sdn Bhd:
→ Portal: MyCoID 2016 (mycoid.gov.my)
→ Steps: Create account → Validate at SSM counter → Reserve company name → Prepare MAA (Memorandum & Articles of Association) → Submit incorporation documents with digital signature → Pay RM1,010 incorporation fee.

Documents needed: NRIC/passport (with live photo verification since 2025), proof of business address, KYC forms for shareholders holding 10%+ equity.

→ Processing: 1–3 working days if all documents are in order. You'll receive a Notice of Registration confirming incorporation.

Appoint a Company Secretary (Sdn Bhd only)

Must be appointed within 30 days of incorporation. The secretary must be a Malaysian citizen or PR and a member of a professional body (e.g., MAICSA). Since 2025, company secretaries are expected to handle all filings digitally through the improved EzBiz portal, and may need certifications in ESG or digital governance. They handle your annual returns, statutory filings, and ensure compliance with the Companies Act 2016.

Obtain Your PBT Business Premise License

Every physical business needs a composite license (premise + signboard) from the local authority (PBT) governing your area. There are 151 PBTs across Malaysia, each with their own rules.

How to find your PBT: Check your Assessment Receipt (Cukai Taksiran) — the council listed there is your PBT. Alternatively, search MalaysiaBiz.

Typical costs: RM200–2,000+/year depending on business type and floor size. Signboard licenses typically RM200–400/year. Valid for 1 year, must renew before expiry.

Signboard rules: Must display company name, registration number, and license reference number. No alcohol/cigarette advertising. Size limits apply (horizontal signs over 40ft require Public Liability Insurance).

Register with LHDN (Tax), EPF, SOCSO & EIS

LHDN (Inland Revenue Board):
→ Register via MyTax portal → e-Daftar to obtain your Employer Tax Reference Number (E number).
→ Upload SSM documents within 14 days or application is cancelled.
→ Sdn Bhd must file Form C (corporate tax) within 7 months after financial year-end and submit CP204 (estimated tax) within 3 months of FY start.
→ Sole proprietors file via Form B under personal income tax.
→ Use LHDN's Employer Responsibilities page for full obligations list.

PCB / MTD (Monthly Tax Deduction):
→ Employers must deduct monthly income tax from employees' salaries under the PCB system.
→ PCB is calculated based on estimated annual income, reliefs, and deductions (TP1 form).
→ Use LHDN's official PCB Calculator or LHDN-approved payroll software to calculate deductions.
→ Submit PCB via e-PCB on MyTax — manual submissions are no longer accepted.
→ Remit deductions to LHDN by the 15th of each month following the salary payment.

Borang EA (Employee Statement of Remuneration):
→ Employers must prepare and distribute Form EA (C.P.8A) to every employee — full-time, part-time, and resigned — by 28 February each year.
→ Summarises total earnings, allowances, bonuses, EPF/SOCSO/EIS deductions, and benefits-in-kind for the year.
→ Employees use Form EA to file their personal tax return (Borang BE) via MyTax e-Filing.

Borang E (Employer Return of Remuneration):
→ Annual declaration to LHDN listing total employees, remuneration paid, and PCB remitted.
→ Must be e-Filed via MyTax by 31 March (manual deadline) or 30 April (e-Filing grace period). e-Filing is now mandatory for corporate employers.
→ Must be accompanied by CP8D (employee details attachment).
→ Compulsory for all Sdn Bhd and Berhad companies — even those with zero employees.
→ Failure to submit: fine RM200–RM20,000, imprisonment up to 6 months, or both.

EPF (KWSP) — Register within 7 days of first hire:
→ Register at any EPF branch or via i-Akaun (Majikan) portal.
→ Pay contributions via e-Caruman.
→ Employer contributes 12–13%, employee contributes 11%.

SOCSO (PERKESO) — Register within 30 days of first hire:
→ Register via ASSIST Portal.
→ New employers: complete Portal ID Registration first, then submit Form 1 & Form 2.
→ Covers Employment Injury Scheme and Invalidity Pension Scheme.

EIS (Employment Insurance System):
→ Managed by SOCSO via the same ASSIST Portal. Both employer and employee contribute 0.2% each.

All contributions due by the 15th of each month. Non-compliance leads to fines, backdated contributions, and potential prosecution.

SST, HRDF & Sector-Specific Licenses

SST (Sales & Service Tax):
→ Mandatory registration when taxable turnover exceeds RM500,000/year.
→ Register and file bi-monthly via MySST Portal (Royal Malaysian Customs Department).

HRDF (Human Resources Development Fund):
→ Mandatory for employers with 10+ Malaysian employees in covered industries.
→ Register via HRDF Portal (hrdf.com.my).
→ Funds are used for workforce training and development.
→ Failure to register: fine up to RM10,000 or imprisonment up to 1 year.

Post-Registration: Annual Compliance

SSM Annual Return: Due within 30 days of incorporation anniversary. Audited financial statements due within 6 months after financial year-end. Non-compliance penalties up to RM2,000+.

AGM: Can now be held in hybrid format (physical or virtual).

PBT License Renewal: Apply before expiry date via the relevant portal (e.g., eLesen for DBKL). May require follow-up inspection.

Monthly Contributions (all due by the 15th): EPF (via e-Caruman), SOCSO/EIS (via ASSIST), and PCB/MTD (via e-PCB on MyTax).

Annual Employer Tax Obligations:
By 28 February: Prepare and distribute Borang EA (C.P.8A) to all employees — this is their annual remuneration statement for personal tax filing.
By 31 March (or 30 April via e-Filing): Submit Borang E + CP8D to LHDN — your employer declaration of total employees, remuneration, and PCB remitted. e-Filing is now mandatory for corporate employers.
Form C: Corporate income tax return due within 7 months of FY-end.
CP204: Estimated chargeable income due within 3 months of FY-start.

Employee Records: Update new hires and resignations monthly with all statutory bodies. Salary changes must be reflected in payslips and updated across EPF, SOCSO, and LHDN. All payroll records must be retained for at least 7 years.

2026 Investment Incentives

Malaysia's New Incentive Framework (NIF) is reshaping how incentives work.

New Incentive Framework (NIF) — Effective March 2026

Malaysia has shifted from traditional profit-based tax holidays to an outcome-based incentive model. The NIF links incentives to measurable outcomes aligned with National Investment Aspirations (NIA) and the New Industrial Master Plan 2030.

Manufacturing sector: Effective 1 March 2026
Services sector: Effective Q2 2026 (exact date TBA)
→ All applications to MIDA from 1 March 2026 are evaluated under NIF
→ Existing approvals are not affected

Accelerated Capital Allowance (ACA)

Investments between Oct 2025 and Dec 2026 qualify for 20% initial + 40% annual deductions on plant, machinery, ICT systems, and licensed software. Designed to accelerate ROI on automation and tech investments.

Malaysia Digital (MD) Status & Tax Incentives

Replaces the older MSC Malaysia Status. Managed by MDEC. Offers income tax exemptions through Pioneer Status (70–100% for up to 5 years), investment tax allowances, import duty exemptions for ICT equipment, and flexible foreign knowledge worker hiring. Apply through MDEC for digital, tech, and e-commerce businesses.

Can foreigners register a company in Malaysia?
Yes. Foreigners typically incorporate an Sdn Bhd via the MyCoID portal. Most industries allow 100% foreign ownership, though regulated sectors (banking, telecoms, energy) may require local partners. You must appoint at least one resident director (Malaysian citizen, PR, or long-term visa holder staying 182+ days/year) and a licensed company secretary.
What's the difference between Enterprise and Sdn Bhd?
An Enterprise (sole proprietorship/partnership) is simple and cheap (RM30–60/year), but the owner is personally liable for all debts. An Sdn Bhd is a separate legal entity — shareholders' liability is limited to their investment. Sdn Bhd costs more (~RM1,010 to incorporate) and requires a company secretary, annual audits, and more compliance, but offers better credibility and liability protection.
Do I need a license to run an online-only business?
Yes — SSM registration is mandatory for any regular profit-driven activity, regardless of whether you sell online or on platforms like Shopee/Lazada. Operating an unregistered business can result in fines up to RM50,000 or imprisonment. You must also check with your local PBT whether a home-based business permit is required, and register for SST if revenue exceeds RM500,000.
How do I find out which PBT governs my business premise?
Check your Assessment Receipt (Cukai Taksiran/Pintu) — the council listed there is your PBT. Even if your address says "Kuala Lumpur," your PBT might not be DBKL — it could be another local authority. You can also verify through the MalaysiaBiz website or by Googling your area + "PBT" or "local council."
What are the monthly statutory contributions I need to pay as an employer?
All due by the 15th of the following month: EPF (employer 12–13% + employee 11%), SOCSO (rate based on salary, covers injury/invalidity), EIS (0.2% each from employer and employee), and PCB/MTD (monthly income tax deduction). If you have 10+ Malaysian employees, you also need to contribute to HRDF for workforce training.
